1. Acceptance of these Terms
These Terms & Conditions are a binding contract between you and Umsiyeti (operated by Thurayya Tech, Nouakchott, Mauritania). By creating an account, accessing, or using the Umsiyeti mobile application or website (the 'Service') you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Umsiyeti is an online marketplace that connects clients with independent service providers for wedding venues, event services, honeymoon trips ('Days'), wedding gift boxes ('LMRSA'), bridal services ('MERWAH'), transport ('CARS'), and related products. Umsiyeti is the marketplace operator. We are not the provider of the underlying services and do not host events, drive cars, or deliver goods ourselves. The contract for any booked service is between you and the relevant provider; Umsiyeti facilitates discovery, booking, communication, and payment.
3. Eligibility
You must be at least 13 years old to register for an Umsiyeti account. To make a booking, place an order, or complete a payment you must be at least 18 years old or the legal age of majority in your country, and you must have the legal capacity to enter into a binding contract. By using the Service you confirm that you meet these requirements. Umsiyeti is intended for use in Mauritania and surrounding markets; you are responsible for ensuring that your use is lawful in your jurisdiction.
4. Your Account
You are responsible for keeping your password confidential and for all activity that takes place on your account. Notify us immediately at hello@umsiyeti.com if you suspect unauthorised access. You agree to provide accurate registration information and to keep it up to date. We may suspend or close accounts that contain false information, are used to abuse the Service, or violate these Terms.
5. Provider Listings
Providers are responsible for the accuracy of their listings, including descriptions, photos, prices, availability, and the legal authorisation to offer the service. Umsiyeti reviews listings on a best-effort basis and may remove or hide content that breaches these Terms or applicable law, but we do not guarantee the quality, safety, legality, or fitness for purpose of any provider's offering.
6. Bookings and Orders
Submitting a booking is an offer to enter into a contract with the relevant provider on the terms shown at the time of booking. The contract becomes binding when the provider confirms availability. Until confirmed, a booking may be cancelled at no cost. After confirmation, the provider's cancellation and refund rules apply. Where Umsiyeti shows a delivery or event location on a map, you are responsible for the accuracy of the address you pin.
7. Payments, Currency and Pricing
Payments are processed by Stripe (international cards) and Bankily B-PAY (Mauritania mobile money). Prices are displayed in the currency of the listing (typically MRU); foreign-exchange rates shown are indicative only and the final amount charged in your local currency is determined by your bank or wallet provider. Umsiyeti does not directly hold your funds. Payments are routed to the provider through the relevant payment processor. Receipts uploaded by you (for manual bank transfer) are reviewed by an admin before the booking is marked paid.
8. Cancellations and Refunds
Each provider sets their own cancellation and refund policy, which is displayed on the listing and at checkout. Refunds are processed back to the original payment method by the relevant payment processor and may take up to 14 business days to appear, depending on your bank or wallet. Umsiyeti may, at its discretion, intervene to mediate disputes but is not obliged to issue refunds out of its own funds for services provided by a third-party provider.
9. User Content
You retain ownership of the photos, videos, descriptions, reviews, and other content you submit to the Service ('User Content'). By submitting User Content you grant Umsiyeti a worldwide, non-exclusive, royalty-free licence to host, display, copy, distribute, and translate that content for the limited purpose of operating, promoting, and improving the Service. You confirm that you have the rights necessary to grant this licence and that the content does not infringe anyone else's rights.
10. Umsiyeti AI
The in-app AI assistant ('Umsiyeti AI') generates responses automatically using a third-party large-language model. Replies may be incomplete, outdated, or wrong, and must not be relied on as professional advice (legal, medical, financial, or otherwise). Do not enter sensitive personal information into the assistant. You are responsible for verifying any suggestions before acting on them. We reserve the right to limit, throttle, or suspend access to the AI assistant to prevent abuse, and to use the conversation history to investigate misuse. If the assistant produces a response that is harmful, hateful, sexual, or otherwise inappropriate, please use the Report button on the message; reports are reviewed by our team.
11. Acceptable Use
You must not: (a) post false, misleading, defamatory, hateful, sexual, or violent content; (b) infringe anyone's intellectual property; (c) submit fraudulent bookings or payments; (d) impersonate another person or business; (e) harass other users, providers, or our staff; (f) use the Service to send unsolicited promotional messages; (g) attempt to access non-public parts of the Service, scrape data, or interfere with rate limits or security controls; (h) use the Service for any illegal purpose or in breach of any law that applies to you.
12. Intellectual Property
The Umsiyeti name, logos, design, software, and content provided by us are owned by Thurayya Tech and protected by copyright, trademark, and other laws. Except for the limited rights to use the Service granted in these Terms, no rights to our intellectual property are transferred to you.
13. Disclaimer of Warranties
The Service is provided 'as is' and 'as available'. To the fullest extent permitted by law, Umsiyeti disclaims all warranties, express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be uninterrupted, error-free, or that any defect will be corrected.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Umsiyeti shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of or relating to the Service shall not exceed the greater of (i) the total amount you paid Umsiyeti in the 12 months before the claim, or (ii) one hundred Euro (€100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify and hold harmless Umsiyeti, Thurayya Tech, and their officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) User Content you submit, (b) your use of the Service, or (c) your breach of these Terms or any law or third-party right.
16. Termination
You may close your account at any time from Settings → Delete Account, or by emailing us. We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, abused the Service, or created risk for other users. Sections that by their nature should survive termination (including 9, 12 to 15, and 17 to 19) survive.
17. Governing Law and Disputes
These Terms are governed by the laws of the Islamic Republic of Mauritania, without regard to its conflict-of-laws rules. The parties agree to attempt good-faith resolution of any dispute by contacting hello@umsiyeti.com first. Any unresolved dispute will be subject to the exclusive jurisdiction of the competent courts of Nouakchott, Mauritania, except where mandatory consumer-protection laws of your place of residence give you the right to bring the claim in your local courts.
18. Changes to these Terms
We may update these Terms from time to time. The 'Last updated' date at the top reflects the latest revision. For material changes we will notify you in the app or by email. Continued use of the Service after the change becomes effective means you accept the updated Terms; if you do not accept them, please stop using the Service and close your account.
19. Severability and Entire Agreement
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Umsiyeti regarding the Service and supersede any prior agreements. Our failure to enforce a right does not waive that right.
